Andrea is a partner of C&G Law and a key member of the firm’s General Corporate Practice Group, Energy, Construction & Infrastructure Sector Group, and TMT & Fintech Sector Group.

Andrea has extensive experience on energy, construction and infrastructure matters, mergers & acquisitions and competition and antitrust. She regularly advises clients, particularly in the energy sector, on various mattes, e.g., purchase and sale of shares or assets, financing, construction of power plants and related facilities, and regulatory compliance.

Andrea also has experience working abroad.  In 2017, Andrea was seconded to the Competition and Trade department of Rajah & Tann Singapore LLP. In 2019, as part of a team of post-graduate students from the Master of Business Administration program of Instituto de Empresa, Andrea worked in South Africa for a socially oriented enterprise.

Experience

Construction, Energy, and Infrastructure

Andrea’s construction, energy, and infrastructure experience has included:

  • Advising a leading Philippine energy group in relation to its templates for engineering, procurement and construction (EPC) contracts for solar power plants.
  • Advising a leading Philippine energy group on various aspects of a major LNG infrastructure development project with onshore and offshore components, including reviewing the EPC contract for a jetty, a time charter for a floating storage regasification unit and other related documents.
  • Assisting a leading Philippine cement producer with its FIDIC-inspired engineering, procurement, and construction contracts for a cement mill in Iligan City, Philippines.
  • Reviewing and revising an EPC contract for a transmission line facility for a diesel plant.
  • Reviewing and revising an EPC contract for a pump-storage hydropower facility.
  • Advising and assisting the borrower with the negotiations and drafting of an Omnibus Loan and Security Agreement for a solar power project.
  • Advising and assisting the borrower with the negotiations and drafting of an Omnibus Loan and Security Agreement for another solar power project.
  • Advising and assisting a leading energy company in drafting template project finance documents (loan and security agreements).
  • Advising and assisting a potential investor with its proposed acquisition of a stake in the company that will develop the offshore wind power project, including conducting legal due diligence for the purposes of the proposed acquisition and advising on the laws, regulations, and permit and license requirements which apply to the development, construction, operation and maintenance of offshore wind power projects.
  • Conducting legal due diligence for the purposes of the proposed acquisition of controlling stake in the company that will develop the generation project and preparing legal documentation The legal due diligence included regulatory legal due diligence to confirm what laws, regulations, and permit and license requirements apply to the development, construction, operation and maintenance of the generation project and whether or not the generation project complied with all of the said laws and regulations and secured all of the said applicable permits and licenses.
  • Advising the client who was proposing to invest in the solar power project that was being developed, including conducting legal due diligence for the purposes of the proposed investment, including regulatory legal due diligence to confirm what laws, regulations, and permit and license requirements apply to the development, construction, operation and maintenance of solar power projects and whether or not the target solar power project had complied with all of the said laws and regulations and secured all of the said permits and licenses that were applicable to it at that time.
  • Advising clients on, and reviewing contracts for, the lease, installation and operation of solar rooftop panels.
  • Advising and assisting a client, a distribution utility, in entering into an investment management agreement with and for an electric cooperative, including conducting legal due diligence for the purposes of the proposed investment, including regulatory due diligence to confirm what laws, regulations, and permit and licensing requirements apply to the management of an electric cooperative.
  • Advising on the regulatory framework for energy storage systems, competitive selection, green energy auction, and the renewable energy market, in relation to a generation project.
  • Advising the Philippine Electric Market Corporation in relation to establishing an electricity derivatives market in the Philippines. Work entailed preparing a legal paper on establishing the market and presented our findings to stakeholders, including the Department of Energy, Energy Regulatory Commission, Securities and Exchange Commission, Philippine Competition Commission, and other energy sector participants.
  • Assisting a client who is a member of the WESM in connection with the application of the Philippine Electric Market Corporation to amend the Price Determination Methodology (PDM).
  • Advising and assisting a generation company in bidding for a power supply agreement by the largest distribution utility in the country.
  • Assisting various generation companies in their application for approval of their power supply agreements with distribution utilities supplying the captive market.
  • Reviewing power supply agreements and retail electricity supply contracts of generation companies in relation to possible disputes with their customers.
  • Corporate secretarial work for a hydroelectric generation company and providing various regulatory advice to such company.
  • Advising the trade association of retail electricity suppliers on various corporate and regulatory matters.
  • Advising the Philippine government and private bidders on, and drafting bidding documents and concession agreements for, the bidding and procurement of public-private partnership projects, including the computerization of the civil registry operations of the Philippine Statistics Authority; the construction and operation of the Cavite-Laguna Expressway; and the construction of the Laguna Lakeshore Expressway Dike.

General Corporate Practice

Andrea’s general corporate practice experience includes:

  • Advising and assisting with proposed acquisitions of various businesses including advertising, telecommunications, logistics, financing, online platforms, and retail companies. Assistance has included the conduct of due diligence and the preparation, drafting and negotiations of contracts and agreements for the acquisition. Advice has covered various legal issues related to the acquisition.
  • Advising and assisting with a five-way merger.
  • Preparing mandatory merger notifications to the Philippine Competition Commission and advising various clients on competition law concerns.
  • Managing a team in the conduct of a competition law compliance audit of a multinational company and preparing merger filings of foreign and local acquisitions with the Philippine Competition Commission.

TMT & Fintech Sector

  • Advising various entities in the fintech space such as banks, payment systems, acquirers, and online retailers on regulations relating to operators of payment system, virtual asset service provider, e-money issuers, money service business, currency conversion, swaps and other derivatives, and the like.
